Post-Closing Audits

In the process of acquiring a company or a business unit, there is always the risk of arriving at a situation where, in spite of a thorough due diligence process, relevant risks remain unidentified.

  1. One particularly serious risk are antitrust violations committed in the past, for which, under certain circumstances, the buyer, but in any event the company that has been acquired, is liable. Our firm has many years of experience in performing post-closing audits, in the course of which it is possible to identify potential liability risks, for example by interviewing managers and employees as well as through careful evaluation of documents. We advise our clients when making strategic decisions, on how to handle these risks and how to minimise them in future.
