Andreas Merkner is a partner at GLADE MICHEL WIRTZ in the CORPORATE practice. Before joining GLADE MICHEL WIRTZ in April 2012, he had worked as a lawyer since 2001 and had been a partner in the international law firm Shearman & Sterling LLP since 2009.
Andreas Merkner specialised in advising German listed stock corporations in the areas of corporate, company groups and capital markets law. This includes, in particular, the preparation of (virtual) general meetings as well as advising companies in their day-to-day business on issues of insider law, ad hoc publicity and transparency of shareholdings. Andreas Merkner also advises companies on the preparation and implementation of structural measures under stock corporation and conversion law. This includes legal representation in legal challenges and appraisal proceedings under stock corporation law. Furthermore, another focus of his advice is the structuring and support of national and international M&A transactions and takeover proceedings.
Andreas Merkner studied law at the Julius-Maximilian University in Würzburg and at the University of Geneva. He earned a doctorate in law from the Julius-Maximilian University in Würzburg in 2000/2001 under the supervision of Prof. Karl Kreuzer.
Andreas Merkner is the author of a large number of publications in the field of stock corporation and capital markets law. He is a commentator in the commentary on the WpÜG (German Securities Acquisition and Takeover Act) published by Baums/Thoma.
In his leisure time, Andreas Merkner enjoys going to the opera, concerts and the theatre and he plays the piano.
